1. Supply of Services

1.1 The hoof trimmer may at its sole discretion refuse to provide the Services where

1.1.1 the hoof trimmer has concerns about the welfare of an animal;

1.1.2 an animal behaves aggressively or unpredictably:

1.1.3 an animal is extremely high value;

1.1.4 there is inadequate handling equipment.

2. Customer’s obligations

2.1 Where the hoof trimmer has concerns about the welfare of an animal, the relevant authorities may be informed and veterinary consultation may be requested at the cost of the Customer.

2.1.1 Inform the foot trimmer upon arrival at the Customers premises of any animals that are undergoing treatment for any condition, disease or injury; have acted unpredictably or displayed any aggressive behaviour.

3. Charges and Payment

3.1 The Charges for the Services shall be on the following basis;

3.1.1 the charges shall be calculated in accordance with the Suppliers standard rates based on the number of animals treated;

3.1.2 the hoof trimmer shall be entitled to charge the Customer for any expenses reasonably incurred by the individuals whom the Supplier engages in connection with the Services including, but not limited to, travelling expenses and for the cost of services provided by third parties and required by the Supplier for the performances of the Services, and for the cost of any materials.

3.2 The hoof trimmer reserves the right to increase its standard fee rates, provided that such charges will not be increased more than once in any 12 month period.

3.3 The hoof trimmer shall invoice the Customer or its charges for time, expenses and materials where application (together with VAT where appropriate) based on each day (or part day) at the Customers premises.

3.4 The Customer shall pay each invoice submitted by the Supplier:

3.4.1 within 30 days of the date of the invoice.

3.4.2 in full and in cleared funds to a bank account nominated in writing by the Supplier, and

3.4.3 time for payment shall be of the essence of the Contract.

4. Insurance

4.1 The hoof trimmer shall maintain appropriate Public and Product liability insurance in connection with the provision of the Services.

4.2 If the Customer considers that the value of any animal exceeds £5,000 it is strongly advised to arrange separate insurance to cover the value of the animal during the provision of the Services.

4.3 The Customer must notify the hoof trimmer as soon as it becomes aware of any event, which may give rise to a claim against the hoof trimmer in respect of provision of the Services. If such notification is oral it must in any event be confirmed in writing within 7 days of provision of the Services. Where applicable, the hoof trimmer may require the Customer to provide supporting evidence from a qualified veterinary surgeon. No claim in acceptance by the hoof trimmer unless notified to the Supplier in accordance with this clause.

5. Confidentiality

5.1 In return for the hoof trimmer making the Reports and other Confidential Information available to the Customer, the Customer undertakes to the hoof trimmer that it shall:

5.1.1 keep the Confidential Information secret and confidential

5.1.2 not use or exploit the Confidential Information in any way except for the purpose of ensuring the welfare of its animals, making it available to the Customers professional advisors, veterinary surgeon, nutritionist, farm advisor or milk buyer

5.1.3 ensure that any third party to whom Confidential Information is disclosed under clause 5.1.2 maintains confidentiality of the information received

5.1.4 not directly or indirectly disclose or make available any Confidential Information in whole or in part to any person except as expressly permitted by, and in accordance with this agreement.

5.2 The obligation in this clause 5 shall not apply to:

5.2.1 any Confidential Information which the Customer can demonstrate is or has become publicly known other than through a breach of this clause or

5.2.2, which was required to be disclosed by a governmental authority or regulatory body.
